Position Title
Design Engineer R&D - Sr.
POSITION SUMMARY- Design and maintain Intuitive Graphical Human Machine Interface software for Medium Voltage Drives. This software could be LabVIEW or other text based language.
- Sustain existing LabVIEW based control software as well as investigating and implementing architectural improvements.
- Participate in the design of embedded control applications using C
- Develop data logging and fault capture software.
- Perform software release regression and user testing individually, or as part of a team.
- Create diagnostics tools and tests
- Work directly with other engineers including mechanical, electrical, and embedded hardware designers
- Work with customers, manufacturing, and field service engineers
- Operate and test medium voltage, high power inverter
- Other functions as required (non-essential functions).
- Minimum of a Bachelor's degree (in Electrical Engineering or Computer Science and/or Industrial Engineering) and five to ten years in field of specialization; or equivalent combination of experience and/or training.
- Strong LabVIEW development skills and familiarity with LabVIEW RT and LabVIEW FPGA
- Strong experience in at least one text based language (C, Java, Python, etc). Java experience a plus.
- Experience with Industrial communication protocols (i.e. Modbus TCP) a plus
- Understanding of basic LabVIEW application architectures such as QMH. LabVIEW certification(s) CLD, CLA, and/or CLED a plus.
- Proficiency with National Instruments hardware including NI-sbRIO RT/FPGA platforms.
- Understanding of basic software principles including object oriented programming, state machines, pointers, and structures.
- Experience with software team development tools including source code control and issue tracking
- Strong team player.
- Great communication and presentation skills.

Product Support Specialist I
Active - Full Time Regular
Round Rock, TX
POSITION SUMMARY
The general scope of this position will include extensive contacts with Operations, Engineering, Information Systems, Field Sales and frequent contacts with customers, including post-sales support, product support, project support, QA, Test, CAD, technical support by phone and email, parts, application engineering and engineering interface, create or update submittals, and assistant internal and external customers, filed sales support, work with Mod shops, daily factory interface for engineering and tech support, create and build nameplate software, files and nameplates.
POSITION RESPONSIBILITIES
- Daily communication with the factories in order to keep our product information up-to-date and fulfill customer requests.
- Daily technical support and post sales support on project business and Mod orders.
- Interface daily with engineering on technical issues about drawing requests, changes and application data. Create and modify drawings in CAD and PDF.
- Support QA and Test arenas, with customers and provide certifications in QA.
- Support Field Sales requests regarding connection diagrams, outline drawings, nameplates, changes and logistics.
- Daily resolution of product questions and quality.
- Providing technical support of both internal and external customers in the form of answering daily questions, drawings, performance data and curves, application assistance and part on our stock products.
- Maintain a library of parts and product information and technical references in both electronic and hard copy format.
- Handle complaints and develop resolutions on product quality issues and QA.
- Handle submittals for project orders and Mod orders.
- Build nameplate files, maintain software and create nameplates.
POSITION QUALIFICATIONS (Education/Experience Required)
- Associates degree preferred; or High School Diploma or GED and 1 year related experience and/or training; or equivalent combination of education and experience.
- Ability to read and interpret documents such as safety rules, operating and maintenance instructions, and procedure manuals.
- Ability to write routine reports and correspondence.
- Ability to calculate figures and amounts such as discounts, interest, commissions, proportions, percentages, area, circumference and volume.

Sr. Tax Accountant
POSITION SUMMARY
Perform the federal, state, and local tax activities for the company including developing tax strategies in order to assure legal and equitable assessments.
ESSENTIAL DUTIES AND RESPONSIBILITIES
- Federal Income tax reporting which includes: filing estimates and annual returns, and coordinating estimates and return with tax consultants.
- Multi-state tax reporting which includes: filing estimates and annual returns for income, franchise, property, local, sales etc., and coordinating reporting with multi-state consultants.
- Filing local property tax renditions which includes: coordinating estimates and returns with tax consultant.
- Tax estimating for planning which includes monthly tax entries.
- Develop SFAS109 forecasts.
- Reconcile tax accounts monthly.
- Interface with external auditors, tax consultants, federal and state tax auditors, and taxing agencies.
- Provide technical guidance to other accountants, clerks, and provide special reports or charts as requested by the Chief Financial Officer.
- Regular attendance is an essential function of this position.

SCOPE, PURPOSE, AND FREQUENCY OF CONTACTS
The position requires daily contact with all levels of TECO-Westinghouse and customers including Engineering, Marketing, Factory Operations, Supply Chain, Service and Accounting.
QUALIFICATIONS
To perform this job successfully, an individual must be able to perform each essential duty satisfactorily. The requirements listed below are representative of the knowledge, skill, and/or ability required.
EDUCATION and/or EXPERIENCE
- Bachelor's degree (B. A. in Accounting or Finance) from four-year college or university; and four to five years related experience in tax accounting plus two to three years of experience and/or training in general accounting or equivalent combination of education and experience.
- An advanced degree (MBA) may be substituted in lieu of some of the experience requirement (up to two years).
- Requires familiarity with a variety of accounting concepts, practices and procedures.
CERTIFICATES, LICENSES, REGISTRATIONS
- CPA Preferred
SKILLS AND ABILITIES
Strong communication and people skills are essential for effectively interacting with customers. Computer skills required: Microsoft Outlook, Word, and Excel.
LANGUAGE SKILLS
Ability to read, analyze, and interpret general business periodicals, professional journals, technical procedures, or governmental regulations. Ability to write reports, business correspondence, and procedure manuals. Ability to effectively present information and respond to questions from groups of managers, clients, customers, and the general public.
MATHEMATICAL SKILLS
Ability to work with mathematical concepts such as probability and statistical inference, and fundamentals of plane and solid geometry and trigonometry. Ability to apply concepts such as fractions, percentages, ratios, and proportions to practical situations.
REASONING ABILITY
Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables.
SUPERVISION RECEIVED
General supervision will be provided. Must be a self-starter with the ability to work effectively and take ownership of assigned projects in a fast paced environment.

Field Account Executive - West Region
POSITION SUMMARY
Manage relationship with customers to achieve annual sales objectives. Develop and implement sales plans for achieving sales objectives. POSITION RESPONSIBILITIES- Step beyond the role of salesperson by helping develop proprietary specifications from the conceptual stage.
- Negotiate motor complicated and major negotiations on a routine basis.
- Assemble technical/commercial proposal data.
- Make customer presentations.
- Develop product knowledge of all products.
- Serve as a consultant/resource to the customer because of your knowledge, experience, and reputation as a problem solver.
- Provide feedback on competitive pricing and strategy.
- Be proficient in the order entry process.
- Lead selling team efforts.
- Make sales calls on customers.
- Be cognizant of antitrust laws and company policies.
- Counsel and assist in training Associate and Inside Negotiators.
- Develop a proven track record in sales by selling a minimum of 100% of assigned loading.
- Establish, implement, review, and modify sales plans jointly with TECO-Westinghouse to sell and service assigned customers.
- Provide technical assistance to customers in the selection, application, operation and maintenance of TECO-Westinghouse products and services.
- Be aware of, and responsive to, market conditions and competitive activities. Communicate such information to the operating divisions.
- Develop and maintain a cooperative and credible working relationship with other Westinghouse personnel to assure that the customer receives the best possible unified effort and service.
- Become a valuable resource to TECO-Westinghouse on customer needs, market conditions and business trends.
- Plans and manages significant marketing programs.
- Manage expense allowances to obtain greatest return on investment and submit an expense report by the end of each month.
- Support the Total Quality effort by:
- Providing timely, accurate information for order entry.
- Elevating quality issues to the attention of management.
- Ensuring that accurate information flows to and from our customers.
- Serving on quality action teams as directed by management.
- Implement new product introductions and programs.
- Collect, analyze, and utilize market intelligence data on customer needs, preferences and buying habits, as well as that of competitive manufacturers.
- Prepare sales/budget forecasts and a Commercial Operations Report by the end of each month.
- Provide necessary reports, surveys and marketing information in a timely manner, as requested by your manager.
- Support the efforts of other Sales Representatives by assuming a leadership role, by becoming a resource for Sales
- Representatives and support personnel.

Design Engineer - Power Electronics
POSITION SUMMARY
Assume engineering responsibility for specific design and/or development phases of Company’s products; including design, verification, implementation, validation, and production support. This is to be accomplished by working under the guidance and direction of more senior engineers. POSITION RESPONSIBILITIES- Conduct product design and development following general design guidelines and tools including CAD programs.
- Conduct calculations and analysis using closed-form methods, computer applications and fully functional FEA and other simulation tools. Develop some calculation tools for specific problems
- Support Sales Department by providing technical input to negotiations of standard products. Oversees manufacturing and sales tools such computer animations of product assembly. Works with the marketing team and the Systems engineer to develop design requirements based on customer needs. Manages customer drawings, subcontractor drawings, and other project specific data.
- Support other departments and customers by addressing technical questions under general design guidelines. Identifies and implements processes and methods to increase effectiveness and efficiency of collaborative efforts.
- Review drawings, schematics, bills of material, and other documentation necessary manufacture, test, install, and commission products. Manage product data structure and configuration management.
- Build proficiency and body of knowledge covering more than one product family and one engineering field and related applications.
- Create and enhance specific design guidelines by leveraging own experience and technical learning.
- Prepare engineering reports covering topics or issues involving various products or technical fields. Some reports may be distributed outside the company.
- Assist in the development of new products by providing input on specifications, designing prototypes, devising validation tests, and preparing supporting documentation. Work closely with vendors and the business functions to enable rapid prototyping and development of new designs. Order, or support ordering of parts for prototype builds. Engage in hands on assembly and testing of prototypes.
- Conduct mechanical and packaging tests. Direct the construction of test setups & fixtures. Create test plans, procedures and reports. Monitor and collect data from reliability tests.
- Provide input to project feasibility and cost analysis.
- Provide input pertaining to time and resources required to execute multiple tasks in the preparation of project schedules.
- Execute tasks according to orders or project schedules, striving for 100% on-time completion. Monitor execution of specific tasks assigned to more junior team member. Provide timely reports on project status.
- Participate in product improvement, productivity improvement, standardization, cost reduction, and cycle time reduction initiatives. Lead some of these initiatives.
- Provide disposition to non-conformances and participate in corrective actions providing technical input based on established design guidelines.
- Review work of designers and engineers with less experience.
- Review product compliance to company standards and customer requirements.
- Provide input to technical papers and invention disclosures.

- Bachelor's degree (B.S.) from four-year college or university in Mechanical Engineering with three to five years related work experience, or equivalent combination of education and experience.
- Three to five year experience designing electronics packaging, preferably medium voltage power electronics (>2.4 kV).
- Working knowledge of IEEE, UL and IEC standards applicable to power electronics equipment.
- Proficiency in SolidWorks is essential.
- Experience with FEA software, preferably ANSYS and/or Icepack.
- Familiarity with Excel data analysis.
- Familiarity with LabView.
- Power Electronics packaging or similar knowledge and experience is required. Special emphasis will be placed on efficient design, low cost, and thermal management. Experience with medium and high voltage electrical equipment a definite plus. Experience in wiring and cable design is desired. Knowledge of printed circuit board assemblies and processes a plus.
- Experience evaluating thermal air flow, analysis of mechanical strength and vibration, and determining adequate electrical spacing and/or insulation requirements. Use of ANSYS, and ANSYS ICEPAK a plus.
- Knowledge of fabrication processes for metal and plastics and electrical grade fiberglass structural shapes. Experience in sheet metal fabrication. Experience in the design of electrical panel assemblies is a plus. Ability to analyze assemblies to simplify construction, promote modularity and reduce parts. Experience in Design for Manufacturing (DFM) principles and application is a plus.
- Experience in the design of welded assemblies such as electrical cabinets, enclosures, panels and frames. Knowledge of environmental standards and testing. Knowledge of NEMA standards and UL product qualification a plus.
- Directly contributes and leads the design team members to complete CAD models, and bills of materials. Responsibility for completion of product design and documentation as well as design changes and prototype construction. Experience in CAD assembly management and techniques. Expert level knowledge of SolidWorks a plus.
- Strong background in drawing standards, tolerances and the use of GD&T. Background with SmarTeam, 3DEXPERIENCE, or SAP is a plus.
- Ability to read and interpret documents such as safety rules, standards, operating and maintenance instructions, white papers, and procedure manuals.
- Ability to write reports and correspondence.
- Ability to speak effectively before groups of customers or employees of the organization.
- Professional level proficiency in English language skills, both verbal and written.

Engineering Manager II
POSITION SUMMARY
The Synchronous, DC and Service Engineering Manager is responsible for leading the team designing synchronous and DC machines, providing timely documentation and support to manufacturing and testing, and input to negotiations of new contracts. Drives product cost reduction, standardization, process improvement, and engineering productivity. In addition, the Synchronous, DC and Service Engineering Manager leads the service engineering team that is responsible for evaluating repair needs and developing repair plans for electric machines, supporting production, testing and field service. POSITION RESPONSIBILITIES- Manage order and project execution ensuring timely completion while meeting or exceeding product quality and performance expectations.
- Coordinate the preparation of technical proposals, outline drawings, customer documentation, and electrical and mechanical design including manufacturing drawings and bill-of-materials for synchronous and DC machines.
- Coordinate the preparation of drawings, repair instructions, customer reports and other relevant documentation required for service orders.
- Drive process improvement initiatives.
- Facilitate and conduct design reviews.
- Interface with internal and external customers to clarify specifications and expectations, prepare and present technical reports and provide technical advice.
- Develop and execute or make recommendations to management on projects for product improvement. Make recommendations as to develop new products/services to meet market trends and assist in the creation of future design strategies.
- Establish performance, cost reduction and productivity goals for the department and create KPIs to support those goals.
- Monitor and manage department performance to ensure achievement of KPIs. Regularly provide reports covering department performance and KPI achievement status.
- Monitor and administer team performance, morale and engagement. Continuously identify training needs and develop training plans to enhance personnel capabilities, skills and performance. This also includes hiring, terminating, preparing and conducting of performance evaluations, as well as, providing performance related feedback including disciplinary actions as required.
- Engage and provide technical support to Company’s projects aiming at cost reduction and productivity improvement.
- Plan and perform engineering duties on new or varied problems where only general objectives are stated and where no previous design or development data exists.

- Excellent communications skills. Ability to speak effectively in conferences, before groups of customers, top management, or employees of the organization.
- Ability to summarize and communicate complex technical topics.

POSITION SUMMARY
Review customer specifications and requirements to select and price equipment. Make written and telephone quotations; answer customer inquiries; assist in sales presentations and closing orders; work within company guidelines regarding pricing, delivery, terms and conditions and product offering; develop product knowledge and sales skills.
POSITION RESPONSIBILITIES
- Provide direct support to existing customers to identify their needs and help solve their problems or complaints. Work with Field Sales and internal resources to develop new customers within his/her defined market.
- Promote team efforts in selling by acting as the internal advocate and liaison for TECO-Westinghouse Field Sales and customers. Internally coordinate TECO-Westinghouse's Sales approach across all parties in the procurement process: E/C, OEM, Distributor, and User. Conduct correspondence and negotiations with customers and TECO-Westinghouse.
- Use engineering design program to design induction motors to frame sizes and costing. Work with engineering on complex motor designs and manufacturing engineering on costing of such motors.
- Prepare the technical document that transmits the customer order to engineering.
- Maintain negotiation records, cost and price. Negotiate motor inquiries. Obtain and interpret orders. Gain proficiency in the order entry process.
- Contribute to monthly reports as required.
- Provide technical assistance to customers in the selection, application, operation and maintenance of TECO-Westinghouse products and services.
- Assist with customer presentations and assemble complete technical/commercial proposal data on time. Provide marketing literature to customers as needed.
- Gain product knowledge on all products.
- Implement sales plans and strategies.
- Provide feedback on competitive pricing strategy.
- Be cognizant of antitrust laws and company policies.
- Become familiar with customers business practices and procedures as they relate to his/her duties.
- Increase technical competence and develop professionally for Sales Representative responsibilities.

Warehouse Team Leader
POSITION SUMMARY
Coordinates activities of workers concerned with ordering, receiving, storing, inventorying, issuing, shipping, materials, supplies, tools, equipment, and parts, in stockroom, warehouse, or yard by performing the following duties. POSITION RESPONSIBILITIES Ware house Coordinator duties (that might carry over)-
- Ensure data integrity within SAP system, performs shipping, receiving and inventory transactions. Researches inventory discrepancies and reports findings to Inventory Control Specialist.
- Ensures that all daily shipping, receiving and inventory transactions are done real time. Works closely with RR in reporting receiving discrepancies regarding containers from Taiwan and Stock transfers from other locations.
- Prepare shipping docs such as: Packing lists, bill of lading, airway bills and shipping labels.
- Maintain daily shipping log to ensure all requested orders are shipped the same day.
- Inputs all shipping charges and tracking numbers the next morning, for tractability purposes.
- Unloads/loads trucks and containers. Maintains neat and clean warehouse. Uses FIFO (first in, first out) inventory method to ensure oldest motors and parts are shipped first.
- Ensures that containers from Taiwan are unloaded, verified and moved to proper location promptly and Syteline is updated.
- Follows company's carrier routing guide based mode transportation, trust time and destination. Adheres to customer's routing requests.
- Schedules trucks for daily shipments.
- Follows corporate guidelines in selection and use of Common and Airfreight carriers
- Runs daily transaction reports to ensure all daily transactions are posted correctly.
- Negotiate and buy tools and other shop supplies and services required to support shipping activities (with approval).
- Monitor the maintenance of warehouse equipment.
- Assist Branch Coordinators in modification process.
- This position may be required to fulfill regular on-call responsibilities as detailed in the TECO-Westinghouse On-Call Pay Policy.
- Support Customer Service to answer phones, check stock, prepare orders and track orders as needed.
- Advises employees on care and preservation of items received, stored and shipped; methods and use of equipment in handling, storing, and maintaining inventory.
- Reviews records for accuracy of information and compliance with established procedures, and to determine adequacy of stock levels of materials used by this department.
- Schedules work for special and periodic inventories.
- Traces history of items to determine reasons for discrepancies between inventory and stock control records and recommends remedial actions to resolve discrepancies.

Design Engineer - Sr.
POSITION SUMMARY
The Design Engineer Sr. reports to the Synchronous and DC Engineering Manager and is responsible for the design and mechanical analysis of large electric rotating machines, preparing negotiations, responding to technical enquiries, providing support to production and field services, conducting design reviews. This is to be accomplished with only general directions from more senior engineers or Engineering Manager. POSITION RESPONSIBILITIES- Conduct product design and development following general design guidelines and tools including CAD programs, and developing design methods utilizing established standards.
- Conduct calculations and analysis using closed-form methods, computer applications and fully functional FEA and other simulation tools. Develop calculation tools and computer applications for broad use.
- Support Sales Department by providing technical input to negotiations of non-standard products based on reference designs.
- Support other departments and customers by addressing technical questions sometimes not covered under general design guidelines.
- Review drawings, schematics, bills of material, and other documentation necessary manufacture, test, install, and commission products.
- Build proficiency and body of knowledge covering more than one product family and more than one engineering field and applications.
- Create and enhance several design guidelines by leveraging own experience and technical learning.
- Prepare engineering reports covering topics or issues involving various products or technical fields, with contribution from various individuals. Some reports may be distributed outside the company.
- Assist in the development of new products by creating specifications, designing prototypes, devising and reviewing test data, and preparing supporting documentation.
- Conduct project feasibility and cost analysis.
- Provide input pertaining to time and resources required to execute tasks in the preparation of project schedules, and prepare schedules for portions of projects.
- Execute tasks according to orders or project schedules, striving for 100% on-time completion. Monitor execution of several tasks assigned to more junior team members. Provide timely reports on project status.
- Lead product improvement, standardization, productivity improvement, cost reduction, and cycle time reduction initiatives.
- Provide direction to disposition to non-conformances and lead engineering response to corrective actions based on general design guidelines.
- Review work of designers and engineers with less experience, and provide mentorship.
- Review product compliance to company standards, customer requirements, industry standards and regulations.
- Lead the preparation of technical papers and provide input to invention disclosures.
- Represents the Company before customers and at technical conferences in support of Marketing and Sales.

- Experience with medium and high voltage equipment (2.4 – 13.8 kV).
- Working knowledge of NEMA, IEEE, API and IEC standards applicable to electric motors and generators.
- Working knowledge of rotordynamic analysis software, preferably, Dyrobes.
- One to three year experience using FEA software, preferably ANSYS.
- Ability to read and interpret documents such as safety rules, standards, operating and maintenance instructions, white papers, and procedure manuals.
- Ability to write reports, technical papers and correspondence.
- Ability to speak effectively before groups of customers or employees of organization.
- Ability to define problems, collect data, establish facts, and draw valid conclusions. Ability to interpret an extensive variety of technical instructions in mathematical or diagram form and deal with several abstract and concrete variables. Working knowledge of statistical tools.

from defects in material and workmanship. The warranty period for high efficiency motors is thirty-six
(36) months from the date of shipment.
Motors of 20 horsepower or less are covered under a "No Fault" warranty. This warranty claim is
offered one time per end user, per application. If there is more than one failure, the standard warranty
process will be followed.
All MAX-E2/841® motors have a 5-year warranty from the date of shipment.
This warranty is conditioned upon the proper storage, installation, operation, and maintenance of the
motors in accordance with TECO-Westinghouse's recommendations or standard industry practice, and
the motors have at all times been operated or used under normal operating conditions for which they
were designed. This warranty will not be applicable to products that have been altered without written
permission from TECO-Westinghouse.
TECO-Westinghouse shall, at its sole option and expense, either replace, refund, or have repairs made
at a TECO-Westinghouse designated service center, any such motor or motor parts which are defective
within the warranty period. TECO-Westinghouse warranty does not cover any shipping or
transportation of a motor to or from TECO-Westinghouse, or designated service centers. TECOWestinghouse
will not be responsible for disconnection or removal of failed motor, or installation of
replacement motor.
In the event of warranty claims, TECO-Westinghouse must be notified promptly following any motor
failure. The motor shall be sent to a TECO-Westinghouse authorized service center for diagnosis on
the cause of failure. If the failure is due to defective material and/or workmanship, TECOWestinghouse
will replace or repair the defective motor or motor part at its discretion. TECOWestinghouse
warranty does not cover any work or repairs not authorized by TECO-Westinghouse
warranty representatives. If the cause of the failure is determined to NOT be a result of manufacturer's
defect or workmanship, all expenses associated with inspection, repair, and so forth, will be the
responsibility of others.
The repair or replacement of defective material and workmanship shall constitute complete fulfillment of
TECO-Westinghouse's warranty liability whether the warranty claims are based on contract, tort
(including negligence and strict liability), or otherwise. THERE ARE NO OTHER WARRANTIES,
EXPRESSED OR IMPLIED, INCLUDING ANY IMPLIED WARRANTY OF MERCHANTABILITY AND
FITNESS FOR PARTICULAR PURPOSE, AND ALL WARRANTIES ARISING FROM COURSE OF
DEALING AND USAGE OF TRADE. UNDER NO CIRCUMSTANCES SHALL TECOWESTINGHOUSE
MOTOR COMPANY BE LIABLE FOR ANY SPECIAL, INDIRECT, INCIDENTAL,
OR CONSEQUENTIAL DAMAGES, INCLUDING FREIGHT.
Stock Motor Return Policy
All returned goods are subject to prior approval and must be accompanied by a Return Material
Authorization (RMA) number. These goods must be returned within 90 days, freight prepaid, in
resalable condition and in original packaging. A 15% restocking fee will be applied. If upon receipt of
the RMA, goods are deemed not to be in resalable condition or in original packaging, then additional
fees will be applied. RETURNS ON MODIFIED MOTORS WILL NOT BE ALLOWED.

TECO-Westinghouse Motor Company(TWMC) hereby gives notice of its objection to any different or additional terms and conditions. Unless different or additional terms are stated in TWMC's proposal, in which event: 1. Such different or additional terms shall be exclusive as to the subject covered, 2. The terms and conditions stated herein apply, and 3. Such Terms and Conditions supersede any prior or contemporaneous agreements or correspondence between the parties.
This sale is expressly conditional on the Purchaser's assent to the Terms and Conditions stated herein. The Purchaser's direction to proceed with any of the engineering, manufacture, or shipment of any product is conclusive as to such assent.
Dispatch of the Purchaser's purchase order (PO) will constitute an acceptance of the quotation, and an assent to the Terms and Conditions stated herein, if the purchase order agrees with the quotation in respect to all material terms.
Quotations
Each quotation is valid for thirty (30) days from the date of the quotation unless otherwise stated in the quotation.
Minimum Billing
The minimum billing per order shall be $100.00, unless otherwise agreed by TWMC.
Taxes
With the exception of Harbor Maintenance Tax as stated in the following paragraph, TWMC will assume the payment of all taxes and fees assessed by any taxing authority in the United States with respect to this order. The Purchaser will assume the payment of all taxes, duties, fees and other charges assessed by any taxing authority in the Purchaser's country or country of ultimate destination with respect to this order.
Under FAS lncoterms it is the Purchaser's responsibility to clear the goods for export. Accordingly, should the Purchaser appoint a freight forwarder or agent to affect export on the Purchaser's instruction, the Purchaser's freight forwarder is responsible for payment of the US Harbor Maintenance Tax on behalf of the Purchaser.
Terms of Payment
A. Net 30
For contracts with a total price less than $250,000 and with a shipment date less than 12 months from the date of order, an invoice will be issued when each unit is shipped and the standard terms of payment are net within thirty (30) days from the date of invoice.
B. Progress Payments
For contracts with a total price greater than $250,000 and/or with a shipment date greater than 12 months from the date of order, the following payment terms shall apply.
- 10% of the contract price shall be invoiced when drawings for approval are issued by TECO-Westinghouse. If drawings for approval are not specified, an invoice will be mailed when construction drawings are issued, but in no event later than 120 days after the date of order.
- 30% of the price of each unit shall be invoiced seven (7) months prior to the first day of the scheduled shipment month of that unit.
- 30% of the price of each unit shall be invoiced four (4) months prior to the first day of the scheduled shipment month of that unit.
- The final 30% of the price of each unit shall be invoiced upon complete shipment of each unit. In each of the above instances, the terms of payment are net within 30 days from date of invoice.
- A separate invoice will be issued concurrently with sections 1,2,3 and 4 for the escalation on that portion of the contract price. The escalation for the portion of the contract involved under 1, 2, 3 and 4 ceases on the date the invoice is issued.
C. Adequate Assurances of Payment
If, in the judgment of TECO-Westinghouse, the financial condition of the purchaser does not justify the terms of payment specified, TWMC may, at its option, require full or partial payment in advance.
Overdue Payments
If payments are not made in accordance with these terms, the quoted price shall, without prejudice to the right of TWMC to immediate payment, be increased by an amount equal to the lesser of 1.5 percent (%), or the highest legal rate of interest on the unpaid balance, plus all expenses of collection including but not limited to attorneys' fees and court costs.
Delivery
Delivery of each item of equipment shall be made FOB Point of Shipment with freight prepaid. Purchaser shall reimburse TWMC for freight charges in an amount equal to the lesser of TWMC's NEMA Frame Freight Policy in effect at the time of shipment or actual freight charges. Such amounts will be paid by the Purchaser upon presentation of invoice by TWMC.
Force Majeure
TWMC shall not be liable for failure to perform or for delay in performance resulting from any cause beyond TWMC's reasonable control or due to compliance with any regulations, orders, acts, instructions or priority requests of any federal, state, or municipal Government, or any department or agency thereof, civil or military authority, acts of God, acts or omissions of the Purchaser, fires, floods, weather, strikes, lockouts, factory shutdowns, faulty castings or forgings, embargoes, wars, hostilities, riots, delays or shortages in transportation or inability to obtain labor, manufacturing facilities, or material from TWMC's usual sources. In the event of delay in performance due to any such cause, the date of delivery or time for completion shall be extended by a period of time reasonably necessary to overcome the effect of such delay, and TWMC shall be reimbursed for any additional expense(s) resulting from such delay. The Purchaser's receipt of products shall constitute a waiver of any claims related to the delay.
Standard Warranty
TWMC warrants that the equipment furnished hereunder will be of the kind and quality described in its proposal or contract and will be free of defects in workmanship and material.
The warranty period for stock motors is thirty-six (36) months from the date of shipment. Motors of 20 horse power or less are covered under a "No Fault" warranty. This warranty claim is offered one time per end user, per application. If there is more than one failure, the standard warranty process will be followed.
All MAX-E2/841® motors have a 5-year warranty from date of shipment. TWMC shall correct such nonconformity by repairing or replacing the defective part or parts, FOB factory or its designated repair facility at TWMC's option.
The Purchaser shall not be required to deliver a defective part to the seller if:
1. The part was destroyed as a result of its defect or of any defect in any part covered in this warranty, and
2. The seller is reasonably satisfied that the part was defective at the time of sale. If both these conditions are met the seller shall replace the part in the same manner as if the Purchaser had delivered it into the seller's plant.
This warranty is conditioned upon the storage, installation, operation, and maintenance of the equipment in accordance with any TWMC recommendations and standard industry practice. The Gears shall be in use for two (2) daily work shifts (total of sixteen (16) hours/day) only. Other exceptions to the standard warranty where applicable will be specified on the product page in the price book where they apply.
In no event shall TWMC be responsible for:
1. Providing working access to the defect, including the removal, disassembly, replacement, or reinstallation of any equipment, materials, or structures to the extent necessary to permit TWMC to perform its warranty obligations,
2. Transportation costs to and from the TWMC factory or designated repair facility,
3. The conditions of any test shall be mutually agreed upon, and TWMC shall be notified of, and may be present at all tests that may be made,
4. Repairs performed without authorization by TWMC,
5. Removing a motor from the installed location, or
6. Reinstalling a motor on site.
Merger Clause
Any representation, warranty, course of dealing, or trade usage not contained or referenced herein shall not be binding on TWMC. This writing, along with any additional parol agreements favoring TWMC, constitutes the entire agreement of the parties on the subject matter hereof. No modification, amendment, recision, waiver, or other change shall be binding on TWMC unless expressly assented to in writing by TWMC.
DISCLAIMER OF WARRANTIES: THE WARRANTIES SET FORTH IN THIS PROVISION ARE EXCLUSIVE AND IN LIEU OF ALL OTHER WARRANTIES WHETHER STATUTORY, EXPRESS, OR IMPLIED (INCLUDING ALL WARRANTIES OF MERCHANTABILITY OR FITNESS FOR A PARTICULAR PURPOSE AND ALL WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE EXCEPT OF TITLE AND AGAINST PATENT INFRINGEMENT.
The remedies provided above are the Purchaser's sole remedies for any failure of TWMC to comply with its obligations.
The repair or replacement of defective material or workmanship shall constitute complete fulfillment of all the liabilities of TWMC whether the claims of the Purchaser are based in contract, in tort (including negligence or strict liability) otherwise with respect to or arising out of the product furnished hereunder.
Limitation of Liability
TWMC, its subcontractors and suppliers of any tier, shall not be liable in contract, in tort (including negligence or strict liability) or otherwise for interruption of business, downtime costs, loss of profits or revenues, loss of use of equipment or power system, cost of capital, cost of purchased or replacement power or temporary equipment (including additional expenses incurred in using the existing facilities), claims of customers of Purchaser, or for any special, indirect, incidental, or consequential damages whatsoever.
The remedies of the Purchaser set forth herein are exclusive and the total cumulative liability of TWMC with respect to any contract, or any action taken in connection therewith such as the performance or breach thereof, or from the manufacture, sale, delivery, resale, or use of any product covered by or furnished under the order, whether in contract, in tort (including negligence or strict liability) or otherwise shall not exceed the price of the product or part on which such liability is based.
Patents
Subject to the following provisions, TWMC shall, at its own expense, defend or at its option settle any claim, suit or proceeding brought against the Purchaser, and/or its customers, so far as based on an allegation that any product constitutes a direct or contributory infringement of any claim of any patent of the United States in force at the time of sale. This obligation shall be effective only if Purchaser shall have made all payments then due hereunder and if TWMC is notified promptly in writing and given authority, information, and assistance for the defense of said claim, suit, or proceeding.
TWMC shall pay all damages and costs awarded in such suit or proceeding so defended.
1. In case the use or sale of such product or parts is enjoined, TWMC shall, at its option and its own expense, perform one of the following actions:
a. Procure for the Purchaser the right to continue using said product or part thereof; o
b. Replace it with a non-infringing product; or
c. Modify it so it becomes noninfringing, or
d. As a last resort, refund the purchase price.
2. The foregoing indemnity does not apply to the following items:
a. Patented processes performed by the product, or any product produced thereby,
b. Products supplied according to a design other than that of TWMC's,
c. Combinations of the product with another product not furnished hereunder unless TWMC is a contributory infringer,
d. Any settlement of a suit or proceeding made without TWMC's written consent.
The foregoing states the entire liability of TWMC with respect to patent infringement by said product or any part thereof. If a suit or proceeding is brought against TWMC solely on account of activities enumerated in paragraph 2 a, b, c, above, the Purchaser agrees to indemnify TWMC in the manner and to the extent TWMC indemnified the Purchaser for products furnished.
Additional Conditions Applicable to Nuclear Applications
1. In the event that the Purchaser or third parties use product or any part thereof, in connection with any activity or process involving nuclear fission or fusion or any use or handling of any source, special nuclear or byproduct material as those materials are defined in the US Atomic Energy Act of 1954 as amended, the Purchaser, at no expense to TWMC shall provide or arrange for insurance coverage, indemnities, waivers of liability, recourse and subrogation in such amounts and under such terms and conditions as may be acceptable to TWMC, to protect TWMC (and its subsidiaries, subcontractors or suppliers of any tier) against any and all loss, cost, damage or expense and claims and demands therefore, in contract, in tort or otherwise, including the cost of investigating, litigating and/or settling any such claims or demands, on account of bodily injury, sickness, disease or death to any person or the loss of, loss of use of, or damage to property whether located on or off the site of a nuclear installation, arising out of, or resulting from the radioactive, toxic, explosive or other hazardous properties of source, special nuclear or byproduct materials, as those materials are defined in the US Atomic Energy Act of 1954 as amended.
2. In the event that the Purchaser resells, distributes or in any way relinquishes control of the product or services to a third party, the Purchaser shall require from such third party
a. Compliance with all requirements under Additional Conditions Applicable to Nuclear Applications Section 1 above and
b. Assurance that any subsequent Purchaser of the product or services complies with all requirements under Additional Conditions Applicable to Nuclear Applications Section 1 above.
Interpretation
All orders shall be interpreted in accordance with the laws of the State of Texas.
